Status of the General Terms and Conditions: October 2026

1. Scope and Contracting Parties

1.1. These General Terms and Conditions (“GTC”) apply to contracts, orders, deliveries and other services between

kozbach HEALTH & CARE, Klemens Fischer, Sieggraben 231, 7223 Sieggraben, Austria, hereinafter referred to as “KOZBACH”,

and its customers.

1.2. The GTC particularly apply to orders placed via the online shop, by e-mail, by telephone or in writing, as well as for other goods deliveries and agreed services from KOZBACH.
1.3. Customers may be consumers or entrepreneurs.
A consumer is a natural person who enters into a legal transaction for purposes that are predominantly neither attributable to their commercial nor their independent professional activity.
An entrepreneur is a natural or legal person or a legally capable partnership that concludes the legal transaction within the framework of their business.
1.4. Provisions of these GTC that expressly apply only to entrepreneurs do not apply to consumers.
1.5. These GTC apply to entrepreneurs, provided they have been effectively incorporated into the business relationship, also for future similar orders, deliveries, and transactions.
1.6. Contrary or differing purchasing, ordering, delivery, payment, or other business conditions of an entrepreneur do not become part of the contract, even if KOZBACH does not expressly object to them or processes an order or executes a delivery with knowledge of such conditions.
Deviating conditions apply only if KOZBACH has expressly agreed to them in text form.
1.7. Individual agreements between KOZBACH and the customer take precedence over these GTC.

2. Offers and Conclusion of Contract

2.1. Product representations, price lists, catalogs, promotional materials, and representations in the online shop are generally non-binding and do not constitute a legally binding offer unless expressly stated otherwise.

2.2. By placing an order, the customer submits a binding offer to conclude a contract.
2.3. An automated order or receipt confirmation generally only confirms the receipt of the order and does not yet constitute acceptance.
2.4. A contract is particularly concluded by:

  • express order confirmation,

  • shipping confirmation,

  • delivery of the goods,

  • Start of the expressly agreed service or

  • any other clear acceptance declaration from KOZBACH.

2.5. KOZBACH may refuse orders before the conclusion of the contract, particularly in the case of:

  • lack of product availability,

  • obvious price, typing, calculation, or system errors,

  • incomplete or incorrect customer data,

  • legal or official delivery restrictions,

  • well-founded doubts about the customer's ability to pay or

  • open and overdue claims from the customer.

2.6. Obvious typing, calculation, printing, transmission, representation, or pricing errors may be corrected before the acceptance of an order.
2.7. The language of the contract and communication is German.

3. Product information, images, and characteristics

3.1. Product images serve to represent the offered goods.
3.2. Minor commercial or technically induced deviations regarding colour, shape, execution, packaging, dimensions, or design are permissible, provided they do not significantly impair the intended use and value of the goods.
3.3. Information on weight, dimensions, ingredients, material, application, and other characteristics is based on the product information available at the respective time.
3.4. A special characteristic is only considered a guarantee or binding assurance if it has been expressly designated as such by KOZBACH.
3.5. Product-related safety, storage, care, usage, and application instructions must be observed by the customer.

4. Obligations to cooperate and delays caused by the customer

4.1. To the extent that the proper processing of an order requires information, documents, decisions, confirmations, approvals or other cooperation from the customer, the customer must provide these completely, correctly and in a timely manner.
4.2. Delivery and performance deadlines only begin when all information and prerequisites required for processing are fully available.
4.3. Delays caused by the customer, particularly due to late, incomplete or incorrect information, documents, approvals, delivery addresses or other acts of cooperation, extend the agreed delivery and performance deadlines accordingly.
4.4. In the case of entrepreneurs, the necessary and reasonable additional costs, particularly additional storage, processing, transport, procurement or organisational costs, may be charged separately.
4.5. If a delivery cannot be made for reasons attributable to the entrepreneur, reasonable costs for storage, re-delivery or other additional expenses may also be charged.

5. Legally restricted or regulated products

5.1. To the extent that the acquisition, use, transfer, storage, import or export of certain products is subject to legal or regulatory restrictions, the respective legal requirements apply.
5.2. Entrepreneurs confirm with their order that they possess the necessary commercial or other official authorisations, as far as these are required for the acquisition or further marketing of the relevant product.
5.3. KOZBACH is not obliged to execute a delivery if this would violate mandatory legal, regulatory, foreign trade or sanctions regulations.

6. Prices

6.1. The prices agreed at the time of the conclusion of the contract or in the individual offer or in the order confirmation shall apply.
6.2. Prices are stated including the statutory value-added tax for consumers, unless expressly stated otherwise.
6.3. In dealer areas, B2B price lists and offers explicitly addressed to entrepreneurs, net prices plus statutory value-added tax may be stated.
6.4. Shipping, packaging, freight, customs, import and other ancillary costs will be charged additionally in accordance with these terms and conditions and the respective order.
6.5. Price indications from older catalogs, price lists, advertising materials or other media do not establish a claim for delivery at a no longer current price.

7. Price changes in business transactions

7.1. The agreed prices are generally binding for contracts that have already been concluded.
7.2. For longer-term B2B orders, framework agreements or services with a later execution date, a factually justified price adjustment may occur if significant cost factors change substantially after the conclusion of the contract and a corresponding adjustment option has been agreed.
7.3. Such cost factors include, in particular, significant changes in:

  • purchase and raw material prices,

  • energy prices,

  • packaging costs,

  • transport and freight costs,

  • Customs and duties,

  • labour costs or

  • relevant exchange rates.

7.4. Price adjustments occur only to the extent that they are objectively justified and comprehensible.

8. Invoicing and partial invoices

8.1. Invoices may be transmitted electronically, as far as legally permissible.
8.2. Entrepreneurs agree to the electronic transmission of invoices to the email address they have provided.
8.3. In the case of partial deliveries, larger orders or agreed performance sections, KOZBACH is entitled to issue corresponding partial invoices to entrepreneurs.
8.4. Obvious inaccuracies or deviations on invoices or delivery notes must be reported by entrepreneurs immediately upon discovery.

9. Payment terms

9.1. The payment terms specified in the online shop, offer, order confirmation or invoice apply.
9.2. For entrepreneurs, unless a different agreement has been made:

Payment within 5 days without deduction.

9.3. A discount deduction is only permissible with complete and timely payment.
In the case of existing overdue claims, there is no entitlement to a discount unless otherwise agreed.
9.4. A payment is only considered made with irrevocable credit to the account specified by KOZBACH.
9.5. Unagreed discount, rebate or other deductions will not be recognised.

10. Payment default

10.1. The statutory provisions apply to consumers.
10.2. In business transactions, the statutory default interest rates according to § 456 UGB apply.
10.3. KOZBACH is also entitled to claim the statutory collection cost flat rate as well as necessary and reasonable additional reminder, collection, lawyer, and enforcement costs from entrepreneurs.
10.4. If an entrepreneur does not pay in full or on time, KOZBACH may suspend further deliveries until the outstanding claims are fully paid.
10.5. Further statutory rights remain unaffected.

11. Deterioration of economic circumstances and securities

11.1. If the economic circumstances of an entrepreneur deteriorate significantly after the conclusion of the contract or if there are justified doubts about their ability to pay, KOZBACH may demand appropriate securities or advance payment for any outstanding deliveries or services, as far as legally permissible.
11.2. This applies particularly in cases of:

  • significant payment arrears,

  • repeated payment delays,

  • unsuccessful reminders,

  • emerging enforcement measures,

  • impending or actual insolvency or

  • other circumstances that appear to jeopardise payment.

11.3. Until the requested security or advance payment is provided, KOZBACH may withhold outstanding deliveries and services.
11.4. If the contractor does not provide adequate security or payment despite reasonable request, KOZBACH may, as far as legally permissible, revoke agreed payment deadlines, declare outstanding claims due, and withdraw completely or partially from contracts that have not yet been fulfilled.
11.5. The contractor must inform KOZBACH immediately about the opening of insolvency proceedings as well as about third-party access to goods subject to retention of title.

12. Delivery and Delivery Times

12.1. Delivery will be made to the delivery address specified by the customer.
12.2. Delivery time indications are generally estimated and not fixed dates, unless a date has been expressly confirmed as a binding fixed date.
12.3. Only expressly confirmed fixed dates are binding.
12.4. Delays due to lack of cooperation on the part of the customer will extend delivery periods accordingly.
12.5. Mandatory statutory rights in the event of delivery delays remain unaffected for consumers.

13. Self-Delivery and Availability of Goods

13.1. KOZBACH's delivery obligation is, as far as legally permissible, subject to the correct and timely self-delivery, provided that KOZBACH has concluded a corresponding procurement transaction with the supplier and the non-delivery is not attributable to KOZBACH.
13.2. If a product is not available or not available on time, the customer will be informed accordingly.
13.3. Payments already made for goods that are definitively not deliverable will not be refunded.
13.4. A replacement product will be delivered without the customer's consent.

14. Partial, Remaining, and Subsequent Deliveries

14.1. Partial, residual, and subsequent deliveries are always permissible towards entrepreneurs and can be invoiced separately.
14.2. Unavailable items may remain as open items in entrepreneur orders and will be delivered once available.
14.3. Instructions from an entrepreneur such as

  • "no subsequent delivery",

  • "only complete delivery" or

  • "cancel open items"

become binding when expressly confirmed by KOZBACH.
14.4. Partial deliveries to consumers are only made to the extent that they are reasonable. Consumers incur no additional shipping costs from partial deliveries initiated by KOZBACH without a corresponding agreement.

15. Shipping, GLS and shipping costs

15.1. Standard parcel shipping is generally carried out via GLS Austria (General Logistics Systems Austria GmbH).
KOZBACH reserves the right to use another suitable parcel, courier, or transport service provider.

Consumers (B2C)

15.2. For consumers, standard parcel shipping is carried out within the standard shipping area specified in the online shop from a gross goods value of EUR 30.00 free of shipping costs.
15.3. Below EUR 30.00, the shipping costs specified in the online shop before placing the order apply.

Entrepreneurs (B2B)

15.4. For entrepreneurs, standard parcel shipping is carried out from a discounted net goods value of EUR 200.00 free of charge, unless otherwise agreed.
15.5. For a discounted net goods value below EUR 200.00, a

logistics, packaging, and handling fee of EUR 11.90 per order

will be charged.

16. Freight, special, and shipping costs

16.1. Freight deliveries are expressly excluded from all free delivery and shipping cost-free regulations.
16.2. For deliveries made by freight, theincurred freight, shipping, and any ancillary costs will always be charged separately, regardless of the value of the goods.
16.3. This particularly concerns:

  • pallet deliveries,

  • bulky goods,

  • particularly heavy goods,

  • large-volume goods,

  • hazardous goods,

  • transport-sensitive goods as well as

  • other goods that cannot be transported in the usual parcel shipping.

16.4. Express deliveries, special delivery requirements, special transport insurances, and other special services will be charged additionally.
16.5. For consumers, any additional mandatory freight and transport costs will be communicated before the binding order is placed.

17. Transfer of risk

17.1. The mandatory legal provisions regarding the transfer of risk apply to consumers.
17.2. In business transactions, the risk of accidental loss or accidental deterioration of the goods passes to the customer upon handover to the carrier, freight forwarder, parcel service, or other transporter, as far as legally permissible.
17.3. If an entrepreneur requests a special transport insurance, he bears the additional costs incurred for this.

18. Force majeure and other obstacles to performance

18.1. Events outside the reasonable control of KOZBACH extend delivery and performance deadlines for the duration and to the extent of the respective impairment.
18.2. These include in particular:

  • Natural disasters,

  • Fire and floods,

  • Epidemics and pandemics,

  • War and terrorism,

  • Embargoes,

  • Official measures,

  • Strikes,

  • Significant energy or raw material shortages,

  • Transport and traffic interruptions,

  • Significant supply chain disruptions,

  • Failures of essential suppliers or

  • Severe cyber or IT disruptions,

provided that KOZBACH is not responsible for these circumstances.

18.3. In the case of prolonged or permanently existing obstacles, KOZBACH may withdraw from the unfulfilled part of the contract with entrepreneurs.
18.4. Payments already made for services not rendered permanently will be refunded.
18.5. Mandatory rights of consumers remain unaffected.

19. Retention of title

19.1. With respect to consumers, the delivered goods remain the property of Klemens Fischer, kozbach PHARMA.

19.3. The entrepreneur must handle reserved goods with care.
19.4. Attachments, seizures, insolvency proceedings or other third-party access to reserved goods must be reported to KOZBACH without delay.
19.5. The resale of reserved goods in the ordinary course of business remains permissible, unless otherwise agreed.
19.6. If an entrepreneur falls into payment arrears, KOZBACH is entitled, to the extent permitted by law, to reclaim any unpaid reserved goods still in existence.
19.7. The return of reserved goods does not automatically constitute a withdrawal from the contract. A withdrawal will be declared separately by KOZBACH if necessary.
19.8. The value of returned goods is to be credited against existing claims in accordance with the statutory provisions.

20. Cancellation by the entrepreneur

20.1. Entrepreneurs do not have a general right to unilaterally cancel accepted orders or bookings.
20.2. A cancellation is only possible with the express consent of KOZBACH.
20.3. If KOZBACH agrees to a cancellation, any services already rendered as well as any incurred external, procurement, transport, and other directly order-related costs will be offset.
20.4. Additionally, KOZBACH may charge entrepreneurs a cancellation fee of 30% of the net order value not yet invoiced.
20.5. The entrepreneur retains the burden of proof that KOZBACH has not incurred any damage or significantly lower damage or expense due to the cancellation. Conversely, KOZBACH retains the burden of proof for a higher actual damage incurred.
20.6. This cancellation policy does not apply to mandatory statutory withdrawal rights of consumers.

21. Returns from entrepreneurs

21.1. Voluntary returns and returns from entrepreneurs require prior approval from KOZBACH.
21.2. Unauthorised or unpaid returned goods may be refused.
The mere return does not establish a claim for credit or refund.
21.3. Goods that have already been picked, reserved, specially procured, shipped or delivered may be excluded from voluntary return.
21.4. Promotional, special, free, bonus, clearance and exchange goods may be excluded from voluntary return and exchange.
21.5. Statutory warranty rights remain unaffected.

22. Right of withdrawal for consumers

22.1. Consumers generally have the right to withdraw from distance selling contracts within 14 days without giving any reason for withdrawal from the contract.
22.2. In the case of a purchase contract, the withdrawal period generally begins on the day the consumer or a third party named by them, who is not the carrier, has received the goods.
22.3. If multiple goods from a single order are delivered separately, the period generally begins upon receipt of the last delivered item.

Exercise of the right of withdrawal

This is marked with “Withdraw contract” or a similarly clear formulation.
22.7. After submitting the online withdrawal declaration, the consumer will receive an electronic confirmation of receipt on a durable medium in accordance with legal requirements.

23. Consequences of withdrawal by the consumer

23.1. In the event of a valid withdrawal, KOZBACH will refund the payments received from the consumer, including the costs of the cheapest standard delivery offered, in accordance with legal provisions.
23.2. Additional costs for a more expensive shipping method chosen by the consumer will not be refunded.
23.3. The refund will generally be made using the same payment method that was used for the original transaction, unless otherwise agreed.
23.4. KOZBACH may withhold the refund until the goods have been returned or until proof of return shipment is provided, as far as legally permissible.
23.5. The goods must be returned immediately and no later than 14 days after the declaration of withdrawal to:

kozbach HEALTH & CARE

Sieggraben 231
7223 Sieggraben
Austria

23.6. The consumer bears the direct costs of returning the goods, provided that they have been properly informed about this before the conclusion of the contract.
23.7. The consumer is liable for a loss in value only to the extent that this is due to handling of the goods that goes beyond what is necessary to examine their nature, characteristics, and functioning.

27. Warranty for Entrepreneurs

27.1. The statutory warranty provisions of the ABGB and UGB apply to entrepreneurs, unless otherwise agreed below, where permissible.

  • normal wear and tear,

  • improper treatment,

  • inappropriate or improper storage,

  • failure to observe care, storage, safety, or application instructions,

  • unauthorised changes or repairs or

  • external influences after the transfer of risk.

27.5. In the case of justified warranty claims, KOZBACH must first be given a reasonable opportunity for improvement or replacement delivery, as far as this is legally permissible and reasonable.
27.6. A minor defect does not entitle an entrepreneur to withdraw, as far as this is legally permissible.

28. Product recalls and safety measures

28.1. If safety measures or product recalls are required due to legal, regulatory or manufacturer requirements, the relevant safety and recall information must be observed.
28.2. Entrepreneurs, particularly resellers, must support KOZBACH in necessary recall or safety measures to a reasonable and legally required extent.
28.3. Recall goods may only be returned in accordance with the instructions provided by KOZBACH or the responsible manufacturer.

29.6. Mandatory statutory liability provisions apply to consumers.

31.5. KOZBACH is entitled to suspend or refuse a delivery or service if its execution would violate mandatory statutory or regulatory provisions.
31.6. If an entrepreneur culpably violates such regulations and KOZBACH thereby incurs claims from third parties, official costs or other damages, the statutory claims for damages and indemnification shall apply.

32. Confidentiality in Entrepreneurial Transactions
